Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Price Legacy Group LLC ("Coplain," "we," "us," or "our"), an Oklahoma limited liability company, governing your access to and use of the Coplain platform and services at coplain.com ("Service").

By creating an account, accessing the Service, or clicking "I agree," you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree, you must not use the Service.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to that organization.

2. Service Description

Coplain provides AI-powered manufacturing documentation tools designed to help manufacturing organizations create, review, and manage operational documents. The Service includes, but is not limited to:

  • Job aid generation: Converting work instructions and procedures into structured, operator-ready job aids.
  • Compliance auditing: AI-assisted review of documents against quality standards and regulatory requirements.
  • Document translation: Translation of manufacturing documents across supported languages.
  • Document processing utilities: PDF tools, revision comparison, redlining, drawing review, and related features.
  • Procedure simplification: Plain-language conversion of complex technical procedures.

We reserve the right to modify, add, or discontinue features of the Service at any time with or without notice, subject to the limitations set out in Section 7 regarding pricing changes.

3. Accounts

To access most features of the Service, you must register for an account. When creating your account:

  • Accurate information: You must provide your real name, a valid email address, and accurate account information. Providing false information may result in account termination.
  • Account security: You are responsible for maintaining the confidentiality of your login credentials. You must notify us immediately at support@coplain.com if you suspect unauthorized access to your account.
  • Account responsibility: You are responsible for all activity that occurs under your account, whether or not authorized by you.
  • One account per person: Each individual may maintain only one personal account unless you are subscribed to a multi-seat plan that explicitly permits additional seats.
  • Age requirement: You must be at least 18 years of age to create an account and use the Service. By registering, you represent that you meet this requirement.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:

  • Upload restricted documents: Upload, process, or transmit documents that are classified by a government authority, subject to export control regulations under ITAR (International Traffic in Arms Regulations) or EAR (Export Administration Regulations), or otherwise restricted from disclosure to third parties without appropriate authorization.
  • Upload PHI without agreements: Upload documents containing Protected Health Information (PHI) as defined under HIPAA without first entering into a Business Associate Agreement (BAA) with us. We do not currently offer a BAA — contact us before submitting any PHI.
  • Attempt to reverse engineer: Attempt to extract model weights, reverse-engineer AI outputs, or probe the Service in a manner designed to extract proprietary AI model behavior.
  • Generate harmful content: Use the Service to generate content that is defamatory, threatening, harassing, discriminatory, or otherwise harmful or unlawful.
  • Share credentials: Share your account credentials with any third party, or allow any third party to access the Service through your account.
  • Circumvent limits: Attempt to circumvent usage limits, rate limits, subscription tier restrictions, or billing through technical means, account creation, or otherwise.
  • Abuse the infrastructure: Submit automated requests at a volume that degrades performance for other users, conduct denial-of-service attacks, or exploit vulnerabilities in the Service.
  • Violate applicable law: Use the Service in any manner that violates applicable local, state, national, or international law or regulation.

Violation of these acceptable use restrictions may result in immediate suspension or termination of your account and may be reported to appropriate authorities.

5. Intellectual Property

The following intellectual property rights apply to use of the Service:

  • Your documents: You retain full ownership of all documents and content you upload to the Service. Nothing in these Terms transfers any ownership rights in your documents to Coplain.
  • Your outputs: You retain all rights to the AI-generated outputs produced from your documents. Subject to your compliance with these Terms, we assign to you any rights we may hold in outputs generated specifically from your inputs.
  • Coplain platform: Coplain and Price Legacy Group LLC retain all rights to the Coplain platform, software, user interface, brand, trademarks, logos, and underlying technology. You may not copy, modify, distribute, sell, or lease any part of the platform or its software.
  • Limited processing license: By using the Service, you grant Coplain a limited, non-exclusive, royalty-free license to receive, transmit, and process your documents solely as necessary to provide the Service to you. This license does not extend to training AI models, reselling your content, or any use beyond direct service delivery.

6. AI-Generated Output Disclaimer

Coplain uses large language models (LLMs) to generate documentation outputs. AI-generated content is probabilistic and may contain errors, omissions, or inaccuracies. The following applies to all AI-generated outputs from the Service:

  • Human review required: All AI-generated outputs — including job aids, audit findings, compliance summaries, and simplified procedures — should be reviewed and approved by qualified personnel before use in any production, safety-critical, or regulated environment.
  • No accuracy guarantee: Coplain does not warrant the accuracy, completeness, or fitness for purpose of any AI-generated content. The Service may produce outputs that appear plausible but are factually incorrect.
  • User responsibility: You are solely responsible for verifying that AI-generated outputs meet your organization's quality requirements, comply with applicable regulations, and are appropriate for your intended use case.
  • No reliance for safety: Do not rely solely on AI-generated job aids, procedures, or compliance outputs in safety-critical manufacturing processes without independent human verification.
  • Limitation of liability: Coplain shall not be liable for any harm, injury, loss, or regulatory sanction arising from the use of AI-generated outputs in production. See Section 9 for the full limitation of liability.

7. Payment and Billing

Access to paid features of the Service is subject to the following billing terms:

  • Subscription billing: Paid subscriptions are billed in advance on a monthly or annual cycle, depending on the plan you select at signup. Your subscription renews automatically at the end of each billing period unless you cancel before the renewal date.
  • No prorated refunds: Except as provided in the money-back guarantee below, subscription fees are non-refundable. We do not issue refunds for partial months or unused periods if you cancel mid-cycle.
  • 14-day money-back guarantee: If you are not satisfied with the Service, you may request a full refund of your first payment within 14 days of your initial subscription purchase. This guarantee applies to your first payment only and does not apply to renewals.
  • Price changes: We may change subscription pricing at any time with at least 30 days' advance notice. Price changes will not apply to your current billing period — they take effect on your next renewal date. If you do not agree with a price change, you may cancel before the new price takes effect.
  • Payment failure: If a payment fails, we will attempt to retry the charge and notify you by email. If payment cannot be collected after reasonable attempts, we may suspend or downgrade your access to the Service.
  • Taxes: Prices do not include applicable sales tax, VAT, or other taxes. You are responsible for any applicable taxes on your subscription.

8. Termination

Either party may terminate the relationship at any time:

  • By you: You may cancel your subscription and close your account at any time through your account settings or by contacting support@coplain.com. Cancellation takes effect at the end of your current billing period for subscriptions.
  • By Coplain for cause: We may suspend or terminate your account immediately, without notice or liability, if we determine that you have materially breached these Terms, engaged in fraudulent activity, or your use of the Service poses a legal, security, or operational risk.
  • By Coplain for convenience: We may terminate the Service or your account for any reason with 30 days' notice, in which case we will provide a prorated refund of any prepaid subscription fees for the unused period.
  • Effect of termination: Upon termination for any reason, your right to access the Service ends immediately. Your account data will be deleted within 30 days of termination, subject to our data retention obligations described in the Privacy Policy.
  • Survival: Sections 5, 6, 9, 10, 11, and 12 of these Terms survive termination.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COPLAIN, PRICE LEGACY GROUP LLC, OR ITS MEMBERS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, PERSONAL INJURY, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COPLAIN'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO COPLAIN IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COPLAIN EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, FREE OF HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED. WE DO NOT WARRANT THAT AI-GENERATED OUTPUTS WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR YOUR PARTICULAR USE.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Oklahoma, United States, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

12. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service (each, a "Dispute"), the parties shall first attempt to resolve the matter informally by contacting us at support@coplain.com. If the Dispute is not resolved within 30 days of such contact, either party may proceed to binding arbitration.

Disputes shall be resolved through binding individual arbitration administered under the rules of the American Arbitration Association (AAA) and conducted in Oklahoma County, Oklahoma. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class action waiver: You agree that any Dispute will be resolved on an individual basis only, and not as a class action, collective action, or representative proceeding.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending the resolution of arbitration. For such purposes, the parties submit to the jurisdiction of the state and federal courts located in Oklahoma County, Oklahoma.

13. Miscellaneous

  • Entire agreement: These Terms, together with the Privacy Policy and any order forms or subscription agreements, constitute the entire agreement between you and Coplain regarding the Service and supersede all prior agreements.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or our right to enforce it in the future.
  • Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights and obligations in connection with a merger, acquisition, or sale of assets.
  • Updates to Terms: We may update these Terms from time to time. Material changes will be communicated via email or platform notice before taking effect. Your continued use after the effective date constitutes acceptance.
